Business Agreement
This Business Agreement governs pCloud Business accounts between pCloud International AG and business customers.
Note: For personal use, please sign up for Basic, Premium, or Premium Plus plans instead.
Agreement Overview
By clicking "I Agree" or using the Services, your organization agrees to:
- pCloud Terms and Conditions
- pCloud Intellectual Property Policy
- pCloud Privacy Policy
Data Processing
- Industry standard security measures for data transfer and storage
- Data may be stored in locations other than customer's principal place of business
- Customer Data includes Stored Data (files) and Account Data (contact information)
Administration
Administrators can:
- Access, disclose, restrict or remove Customer Data from End User Accounts
- Monitor, restrict, or terminate access to accounts
- Manage passwords and access to Administrator and End User Accounts
Customer is responsible for:
- Maintaining password confidentiality
- Managing access to all accounts
- Ensuring compliance with laws and this Agreement
Acceptable Use
Customers and End Users must NOT:
- Violate laws or regulations
- Infringe intellectual property or privacy rights
- Transmit illegal, abusive, or harmful content
- Send spam or malicious software
- Interfere with or damage the Services
- Attempt to breach security measures
- Sell or resell the Services
Security & Emergencies
- Report unauthorized access within 10 days
- Services not intended for users under 13
- pCloud may suspend services during Security Emergencies
Third Party Requests
pCloud will make reasonable efforts to:
- Notify Customer of Third Party Requests (when legally permitted)
- Cooperate with Customer's efforts to oppose requests
- Provide information needed to respond to requests
Customer Data
Customer retains ownership of all data. Customer grants pCloud:
- Non-exclusive, royalty-free license to use data for providing Services
- Right to use reviews/feedback for advertising
pCloud may include Customer's name in promotional materials after notification.
Fees & Payment
- Fees are non-refundable except as required by law
- Services may be suspended if payment is 7+ days overdue
- Auto-renewal: Recurring payments continue until cancelled
- Rate changes: 30 days notice before next charge
Term & Termination
Either party may terminate:
- At any time, for any reason
- If other party is in material breach (after 30-day cure period)
- If other party ceases operations or becomes insolvent
Upon termination:
- Rights granted to Customer cease immediately
- pCloud may provide access to export Stored Data
- Data may be deleted after reasonable period
Indemnification
Customer indemnifies pCloud for:
- Customer Data issues
- Violations of this Agreement
pCloud indemnifies Customer for:
- Infringement claims related to pCloud's technology
Limitation of Liability
EU/Swiss Customers:
- No liability for consequential or indirect damages
- Maximum liability: fees paid or EUR 5,000
Non-EU Customers:
- Services provided "AS IS"
- Maximum liability: fees paid in preceding 12 months
Disputes & Arbitration
- Parties agree to attempt informal resolution first (30 days)
- Unresolved disputes: binding arbitration under Swiss Rules
- Location: Zurich, Switzerland
- Language: English
Governing Law
This Agreement is governed by the laws of Switzerland.
